This CabRank Network Membership Agreement is between Platfirm AI Pty Ltd ACN 679 859 744 of PO Box 965, Capalaba QLD 4157 (Platfirm, we, us) and the person or entity accepting these terms (Member, you).
By clicking to accept these terms, creating an account, or using the CabRank Network, you agree to be bound by this Agreement.
1.1 The CabRank Network is an online platform operated by Platfirm that helps facilitate the notification, matching, claiming, administration and handoff of legal enquiries, referrals and related opportunities. CabRank is not a legal practice management system, case management system, conveyancing management system, billing system, trust accounting system, time recording system, document management system or system of record for legal matters.
1.2 The CabRank Network is intended for properly qualified legal practitioners and law practices.
1.3 Platfirm facilitates referral matching, intake administration, claiming, allocation, notification and handoff only. Platfirm does not provide legal advice to Members and is not a party to any retainer or legal services arrangement between a Member and any client.
1.4 CabRank does not provide court, matter, file, billing, trust accounting, conveyancing or case management functionality. Members remain solely responsible for all legal advice, conflict checks, retainers, costs disclosure, trust accounting, file conduct, limitation dates, professional obligations, court obligations and matter management in their own systems.
2.1 You may only join and use the CabRank Network if you are:
(a) an Australian law practice;
(b) an Australian legal practitioner; or
(c) acting with full authority on behalf of an Australian law practice or Australian legal practitioner, and in each case you are lawfully entitled to provide the legal services you hold yourself out as offering.
2.2 If you join on behalf of an entity, you warrant that you have authority to bind that entity.
2.3 You must promptly notify us if you cease to hold any required practising certificate, licence, registration, approval, or entitlement, or if any information previously provided becomes inaccurate.
2.4 We may require evidence of identity, practising status, business status, location, or authority at any time.
3.1 You must create an account to access the CabRank Network.
3.2 You must ensure that all account details, practice areas, jurisdictions, contact details, and notification preferences remain current and accurate.
3.3 Your account is personal to you or, if the account is held by a law practice, to that law practice and its approved users.
3.4 You must not:
(a) sell, assign, sublicense, transfer, or commercially exploit your account;
(b) share login credentials except within your own law practice on a strictly authorised basis;
(c) allow any unauthorised person to access the CabRank Network through your account; or
(d) impersonate another person or entity.
3.5 You are responsible for all use of your account and for maintaining the confidentiality and security of your login credentials.
4.1 Platfirm may make enquiries, leads, referrals, opportunities, notifications, summaries, call information, contact information, and related data available through the CabRank Network.
4.2 The CabRank Network may include features allowing Members to receive notifications of potential referrals, indicate interest in or claim opportunities, manage referral preferences, update referral statuses, and access intake, engagement-document and handoff tools.
4.3 We may add, remove, modify, suspend, or replace any feature, platform process, claiming process, ranking logic, allocation method, or notification method at any time.
4.4 Additional features, premium features, priority access features, or AI-enabled services may be made available under separate plans or separate terms.
5.1 Membership does not entitle you to any minimum number of enquiries, referrals, matters, clients, claims, bookings, leads, opportunities, or revenue.
5.2 Platfirm does not guarantee that any enquiry will be genuine, suitable, complete, accurate, current, actionable, or commercially valuable.
5.3 Unless expressly stated otherwise in writing, all opportunities made available through the CabRank Network are non-exclusive.
6.1 You must respond to opportunities promptly, professionally, and in good faith.
6.2 If you claim or accept an opportunity, you must use reasonable efforts to contact the prospective client promptly and handle the opportunity professionally.
6.3 If you are unavailable, not interested, conflicted, not suitably qualified, or otherwise unable to act, you must promptly decline or release the opportunity where that functionality is available.
6.4 Platfirm may set, amend, and enforce rules relating to claim windows, response times, notification methods, reallocation, inactivity, eligibility, and priority or ranking logic.
7.1 An enquiry, referral, lead, summary, or opportunity made visible through the CabRank Network remains under Platfirm’s control unless and until it is expressly confirmed to you in accordance with the applicable platform process.
7.2 Merely viewing, receiving notice of, or expressing interest in an opportunity does not give you any ownership right, exclusivity right, proprietary right, or vested entitlement in relation to that opportunity.
8.1 You must use the CabRank Network lawfully, ethically, and professionally.
8.2 You must not misuse the platform, provide poor or misleading service to prospective clients, harass clients, manipulate claim logic or rankings, input false information, scrape platform data, or use the platform for unrelated purposes.
9.1 You are solely responsible for complying with all laws, rules, professional obligations, and regulatory requirements applicable to your legal practice and dealings with prospective clients.
9.2 Without limitation, you are solely responsible for conflict checking, capacity and competence assessment, client engagement, costs disclosure, confidentiality, privilege, trust accounting, legal advice, and compliance with privacy obligations.
10.1 You may receive personal information, contact details, summaries, court details, and other information relating to prospective clients or enquiries.
10.2 You must use that information only for assessing whether you can respond to the enquiry, contacting the prospective client in connection with that enquiry, handling the enquiry professionally and lawfully, and related administrative steps reasonably necessary to do so.
10.3 You must not use information obtained through the CabRank Network for unrelated marketing, resale, onward distribution except as required for proper handling of the enquiry, or to build unrelated contact lists.
10.4 You must handle all information obtained through the CabRank Network securely and confidentially.
11.1 Each party must comply with privacy laws applicable to it in connection with the collection, use, disclosure, storage, and handling of personal information.
11.2 You must take reasonable steps to protect information obtained through the CabRank Network from misuse, interference, loss, and unauthorised access, modification, or disclosure.
11.3 You must notify us promptly if you become aware of any unauthorised access to, disclosure of, or misuse of information obtained through the CabRank Network where that incident may affect Platfirm, the platform, or an affected person.
12.1 We may monitor use of the CabRank Network for security, integrity, quality assurance, complaints management, fraud prevention, and platform administration purposes.
12.2 We may suspend, restrict, deactivate, or terminate your account if we reasonably consider that:
(a) you are no longer eligible;
(b) you have breached this Agreement;
(c) there has been misconduct, misuse, gaming, or abuse of the platform;
(d) there have been complaints about your conduct, responsiveness, professionalism, or treatment of clients;
(e) there are regulatory, practising, disciplinary, or entitlement concerns;
(f) you have become unresponsive or inactive; or
(g) suspension is reasonably necessary to protect clients, the network, or other users.
13.1 Platfirm may determine and vary the way in which opportunities are surfaced, ranked, filtered, offered, allocated, or prioritised within the CabRank Network.
13.2 Membership in the free network does not entitle you to access all current or future features. Some features, tools, platform enhancements, support levels, or AI-enabled services may only be available under paid plans or separate terms.
14.1 Platfirm and its licensors own all rights, title, and interest in the CabRank Network and related intellectual property.
14.2 This Agreement gives you a limited, revocable, non-exclusive, non-transferable right to access and use the CabRank Network for your internal professional purposes during your membership, subject to this Agreement.
15.1 The CabRank Network is provided on an “as is” and “as available” basis.
15.2 Platfirm does not warrant that the platform will be uninterrupted or error-free, that any enquiry or summary will be complete or accurate, or that the platform will produce any particular result.
16.1 Nothing in this Agreement excludes any non-excludable rights or guarantees you may have under law.
16.2 Subject to clause 16.1, to the maximum extent permitted by law, Platfirm excludes liability for indirect, consequential, special, exemplary, or loss of profit, revenue, goodwill, opportunity, or anticipated savings.
16.3 Subject to clause 16.1, Platfirm’s aggregate liability arising out of or in connection with this Agreement or the CabRank Network is limited to AUD $100.
17.1 This Agreement starts when you accept it and continues until terminated.
17.2 You may stop using the CabRank Network and close your account at any time.
17.3 Platfirm may terminate this Agreement or suspend or end your membership at any time by notice to you.
17.4 On termination, your right to use the CabRank Network ends immediately.
18.1 We may amend this Agreement from time to time.
18.2 If we make a material change, we may notify you by email, in-platform notice, or by posting an updated version on our website or in the app.
18.3 Your continued use of the CabRank Network after the effective date of an updated version constitutes acceptance of the amended Agreement.
19.1 This Agreement is governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
19.2 This Agreement constitutes the entire agreement between the parties regarding Network membership.
